Terms and Conditions

Yes, I would like to be included in the Associates Register of the Australia TradeCoast Ltd (‘ATC’) website. In registering to become a registrant, on behalf of my company, I acknowledge and agree to the following terms:

1. This is an application to register, and entry as a registrant is subject to ATC approval, which may be given or refused at ATC’s absolute discretion. In deciding whether to give its approval or, once registered whether to allow the registrant to remain registered, ATC may request further information from the applicant.

2. If the application is accepted, then the registrant will be issued with a user name and password, which may not be disclosed by the registrant to anyone other than employees of the registrant. This will give the registrant access, via the ATC website, to a selection of ATC corporate logos, photographs and descriptive copy (‘ATC Material’).

3. ATC is making the ATC material available to registrants for a particular purpose and, subject to this licence, nothing in these terms should be construed as affecting ATC’s ownership of, or interests in, ATC’s copyright or intellectual property (including trademarks). The registrant acknowledges that:
a. All copyright and intellectual property rights (including trade mark rights) in the ATC Material are and remain the exclusive property of ATC or its successors and assigns; and
b. All existing goodwill in the ATC Material and all future goodwill arising out of the use by the registrant of the ATC Material, on its creation, vests in and remains the exclusive property of ATC.

4. Upon ATC’s acceptance of the registrant’s application, registrants will have a non-exclusive licence to access and copy the ATC Material for inclusion in promotional material prepared by the registrant on the following conditions:
a. The business or property being promoted is physically located within the region known as the Australia TradeCoast (being the area described as such in the ATC website);
b. The ATC Material must be used in accordance with the ‘ATC Logo Specifications 2002’, as amended from time to time (accessible via the ATC website);
c. If the registrant is promoting a number of businesses and/or properties in a single promotional document, certain of which are located within the Australia TradeCoast region and certain of which are located outside the Australia TradeCoast region, then the ATC Material may only appear in conjunction with those businesses and/or properties referred to in paragraph 4a above;
d. Each use of the ATC Material must be accompanied by a statement acknowledging ATC’s ownership of the ATC Material, in a form approved by ATC;
e. The registrant must provide to ATC, in the first month of each calendar quarter, a report in a form acceptable to ATC, which report must list all of the registrant's promotional material (and include copies of such promotional materials) for the previous quarter on which the registrant has included any ATC Material;
f. The registrant must not challenge the validity, or ATC’s ownership of, the ATC Material while this licence remains effective; and
f. The registrant must not assign or sub-licence any right arising out of these terms and conditions.

5. ATC may terminate this non-exclusive licence immediately by notice to the registrant at any time. If ATC revokes the licence, then unless ATC agrees otherwise, the registrant:
a. Must immediately cease using the ATC Material (including in any promotional material current at the date of termination);
b. Must immediately destroy all ATC Material in its possession (in whatever form);
c. Must not represent or warrant (by act or omission) that it is on the Associates Registry of the ATC website; and
d. Must take all steps necessary to remove any appearance of association between the registrant and ATC.

6. To avoid any doubt, this non-exclusive licence applies to the ATC Material only, and to no other information on the ATC website. The ATC website terms and conditions (accessible via the ATC website) will apply to the registrant’s use of any other information on the ATC website (including as to matters of copyright and intellectual property).

7. ATC may amend these terms at any time, upon giving notice to the registrant of the proposed amendments, and the time from which the amendments are to take effect.

8. Nothing in these terms and conditions constitutes a relationship of principal and agent or partnership between the registrant and ATC. The registrant:
a. Must not assume or create or attempt to assume or create, directly or indirectly, any obligation on behalf of or in the name of ATC; and
b. Must do anything reasonably requested by ATC to ensure that the public is aware that the registrant is not an agent or partner of ATC.

9. Upon registration, the registrant authorises ATC to:
a. Disclose any information included in the registrant’s registration form (‘Registrant Material’) on the ATC website (http://www.australiatradecoast.com.au); and
b. Include the registrant in the ATC Associates Registry,
and the registrant acknowledges that the Registrant Material will be available in the public domain for anyone accessing the ATC website to view. The registrant will also notify ATC of any changes to the Registrant Material as soon as practicable after the change takes place.

10. In making an application to register, the registrant:
a. Acknowledges that ATC is relying on the accuracy and completeness of the Registrant Material and the registrant indemnifies ATC and its officers and agents against all costs, expenses, damages, liabilities, claims and losses (including legal fees on a full indemnity basis) suffered or incurred by it as a result of or in relation to the Registrant Material;
b. Indemnifies ATC and its officers and agents against all costs, expenses, damages, liabilities, claims and losses (including legal fees on a full indemnity basis) suffered or incurred by it as a result of the exercise of licensed rights under these terms and conditions, or as a result of a breach of any of the registrant’s obligations under these terms and conditions; and
c. Releases ATC from any liability for costs, expenses, damages, liabilities, claims and losses (including legal fees on a full indemnity basis) suffered or incurred by the registrant as a result of publication of the Registrant Material on the ATC website in accordance with these terms.

11. ATC collects, uses, discloses and otherwise handles any ‘personal information’ about individuals provided to it in accordance with ATC’s Privacy Policy, which can be found on the ATC website at http://www.australiatradecoast.com.au.

12. ATC may collect personal information about individuals, including:
a. The information on the signup form; and
b. Other information or documents requested by, and provided by you to ATC.

13. ATC collects this information for the purpose of:
Providing services to you;
a. Promoting your business on the ATC website;
b. Unless you indicate that you do not wish ATC to use your personal information for this particular purpose by placing a tick in the adjacent box, providing you with updates on infrastructure issues that may affect your business;
c. Unless you indicate that you do not wish ATC to use your personal information for this particular purpose by placing a tick in the adjacent box, providing you with information about upcoming events, including stakeholder forums;
d. Facilitating ATC’s internal business operations, including the fulfilment of any legal requirements;
e. Analysing ATC’s services and customer needs with a view to developing new and/or improved services; and
f. Unless you indicate that you do not wish ATC to use your personal information for this particular purpose by placing a tick in the adjacent box, providing you with information about current activities or campaigns that ATC is undertaking.

14. ATC may disclose personal information about you to:
a. Service providers, who assist ATC in operating its business, however, these service providers are required to comply with ATC’s privacy policy in how they handle your personal information; and
b. Its related entities.

15. If the personal information you provide to ATC is incomplete and/or inaccurate, ATC may be unable to process this application and/or be unable to provide you with the services you are seeking.

16. You may access the personal information ATC holds about you in accordance with ATC’s privacy policy (accessible via the ATC website).

17. These terms and conditions contain the final and entire agreement between ATC and the registrant.

18. All representations, conditions or warranties and agreements whether express or implied and whether statutory or otherwise not contained herein, are hereby expressly excluded.
